These Terms of Service ("Terms") govern your access to and use of the websites novadaxas.com and novadax3d.com (the "Sites") and the NovaDax3D platform (the "Service"), operated by NovaDax ("we," "our," or "us"). By accessing or using the Sites or Service, you agree to be bound by these Terms.
You must be at least 18 years of age and authorized to enter into agreements on behalf of your organization to use the Service. By using the Service, you represent that you meet these requirements.
To access the Service, you must create an account with accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.
You may use the Service solely for lawful purposes related to facility safety planning, emergency preparedness, and related organizational needs. You agree not to:
Ownership: You retain all ownership rights to the data you upload to or generate through the Service, including aerial imagery, 3D models, floor plans, emergency plans, and related facility information ("Your Data"). We do not claim ownership of Your Data.
License: You grant us a limited, non-exclusive license to host, store, process, and display Your Data solely for the purpose of providing the Service to you.
Responsibility: You are responsible for the accuracy and legality of Your Data. You represent that you have all necessary rights and permissions to upload and use the data you provide.
The Service, including its software, design, features, documentation, and branding (excluding Your Data), is owned by NovaDax and protected by intellectual property laws. These Terms do not grant you any rights to our intellectual property except the limited right to use the Service as described herein.
If we provide drone mapping, surveying, or inspection services to you, we will operate in compliance with all applicable FAA regulations, including 14 CFR Part 107. You are responsible for obtaining any necessary permissions or approvals for drone operations on your property, including airspace authorization where required. The imagery and data captured during drone operations are delivered to you and become Your Data as described in Section 4.
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or factors beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.
Fees for the Service are described in your service agreement or order form. If no separate agreement exists, the Service is provided on terms mutually agreed upon in writing. We reserve the right to modify our pricing with 30 days' written notice.
Either party may terminate the service relationship with 30 days' written notice. We may suspend or terminate your access immediately if you violate these Terms or engage in activity that threatens the security or integrity of the Service. Upon termination, we will make Your Data available for export for 90 days, after which it may be deleted.
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free or that it will meet all of your requirements.
Emergency Planning Disclaimer: The NovaDax3D platform is a tool to assist with emergency planning and compliance documentation. It does not replace professional emergency management guidance, legal advice, or official compliance determinations. You are responsible for ensuring your emergency plans meet all applicable laws and regulations.
To the maximum extent permitted by law, NovaDax shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service. Our total liability for any claims arising under these Terms shall not exceed the amounts you have paid to us in the 12 months preceding the claim.
You agree to indemnify and hold harmless NovaDax from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.
These Terms are governed by and construed in accordance with the laws of the State of Georgia, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Fulton County, Georgia.
We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our Sites with a revised effective date. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.
